VINAFI & VINHUB Terms of Service & Legal Disclaimer

Last Updated: August 8, 2026

Welcome to Vinafi LLC ("Vinafi," "we," "us," or "our"). These Terms of Service and Legal Disclaimer ("Terms") govern access to and use of the Vinafi enterprise software platform, the VinHub™ Cross-Lender Network, APIs, mobile auditing applications, and associated services (collectively, the "Services").

By accessing or using our Services, establishing an enterprise account, or executing an Order Form, you ("Client," "User," or "Partner") agree to be bound by these Terms.

1. Proprietary Rights & Intellectual Property Enforcement

Vinafi LLC is the sole creator, owner, and developer of the patent-pending software system and network engine known as Vinafi VinHub™. All rights, titles, and interests in and to the software, source code, data architectures, user interface designs, trade secrets, and pending patents are and shall remain the exclusive property of Vinafi LLC.

Prohibition of Misuse: The unauthorized reproduction, copying, decompilation, disassembly, reverse engineering, extraction of underlying algorithms, or distribution of any part of Vinafi or VinHub is strictly prohibited.

Aggressive Enforcement: Vinafi LLC actively protects its intellectual property rights. Any unauthorized access, infringement, or attempted reverse engineering will result in immediate termination of access, initiation of legal proceedings, and the pursuit of maximum statutory and compensatory damages allowed by law.

2. Zero-Trust Security & Data Governance

Vinafi operates under a strict Zero-Trust Security Architecture to protect institutional financial operations.

Client Data Responsibilities: Clients are responsible for ensuring they possess all requisite legal rights, permissions, and authorizations to submit data—including Vehicle Identification Numbers (VINs), inventory feeds, title statuses, and loan records—to the Services.

Prohibited Sensitive Data: Users must never input unencrypted Personal Identifiable Information (such as Social Security Numbers, personal banking passwords, or consumer credit scores) directly into open platform fields.

Confidentiality: Vinafi maintains commercial confidentiality regarding floorplan data and processes network verifications via secure cryptographic hashes across the VinHub network to preserve trade secrecy.

3. Consent to Recording & Communication Monitoring

Pursuant to Georgia law (O.C.G.A. § 16-11-66), Vinafi LLC hereby notifies all users, enterprise clients, and commercial partners that any and all operational calls, virtual meetings, voicemails, and electronic communications (including emails, system chats, and API transmissions) may be recorded and logged.

Express Consent & Admissibility: By engaging with Vinafi LLC or utilizing the Services, you provide your express written consent to such recording and logging. These records may be retained for audit compliance and introduced as admissible evidence in court proceedings in the event of contractual default, fraud, unauthorized access, or intellectual property infringement.

4. Mandatory Binding Arbitration & Dispute Resolution

In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the Services, or any alleged breach thereof, the parties agree to first attempt resolution through good-faith executive negotiation.

Mandatory Arbitration: If negotiation fails to resolve the dispute within thirty (30) days, the matter shall be submitted to final and binding arbitration administered by Atlanta Arbitration Lawyers (or a mutually agreed-upon commercial arbitration body) in Atlanta, Georgia.

Arbitration Venue & Judgment: All proceedings shall take place in Atlanta, Georgia. The decision and award rendered by the arbitrator shall be final, binding, and non-appealable, and judgment upon the award may be entered in any court having jurisdiction thereof.

5. Governing Law & Jurisdiction

Vinafi LLC is organized under the laws of the State of Georgia. These Terms, along with any separate enterprise agreements, shall be governed by, construed, and enforced in accordance with the internal laws of the State of Georgia, without giving effect to any conflict of law principles.

6. Disclaimer of Warranties & Limitation of Liability

Service Availability ("As-Is"): The Vinafi Platform and VinHub Network are provided on an "as-is" and "as-available" basis. While Vinafi implements high-availability cloud architecture and continuous monitoring to maintain enterprise performance, Vinafi LLC makes no express or implied warranties regarding uninterrupted service, error-free operation, or fitness for a specific financial purpose.

Limitation of Liability: To the maximum extent permitted by applicable law, Vinafi LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from platform downtime, third-party DMS connection outages, or state titling database delays beyond Vinafi's reasonable control.

7. Modifications to Terms

Vinafi LLC reserves the right to update or modify these Terms at any time. Updated versions will be published with a revised "Last Updated" date. Continued use of the Services following notice of changes constitutes full acceptance of the revised Terms.
